About the Role
iCapital Network is seeking a talented and experienced Vice President, APAC Legal Counsel to join our dynamic International Legal Team. This role will involve significant collaboration with the broader iCapital team in the APAC region. The primary focus will be on representing private funds sponsored in APAC, primarily those domiciled in Cayman and Australia, across a diverse range of matters including fund formation, marketing, structuring, and distribution. The ideal candidate will possess extensive experience in drafting and negotiating fund documentation, side letters, placement agreements, and related materials, along with the ability to workshop and initiate new fund structures and strategic initiatives at iCapital. This position offers a unique opportunity to contribute meaningfully to the growth and success of a rapidly expanding business.
Responsibilities
- Draft and negotiate a variety of agreements with counterparties, including leading fund managers and distribution agents.
- Prepare and review private fund offering documents, partnership agreements, and associated legal documentation.
- Provide legal guidance on the implications of offering new and existing products and services across jurisdictions.
- Coordinate with external legal counsel on various issues, including regulatory matters, corporate law, and fund investments.
- Engage in and implement innovative initiatives, structures, and business lines as the organization evolves.
- Lead legal projects ensuring timely and budget-compliant results.
- Handle general corporate matters and a wide array of commercial contracts.
Candidate Profile and Qualifications
- A strong desire to thrive in a fast-paced, high-growth company.
- Qualified lawyer with 5+ years of post-qualification experience in a major common law jurisdiction.
- Demonstrated legal expertise in areas such as financial markets, commercial and corporate law, with a keen interest in asset management or financial technology.
- In-depth knowledge of Cayman fund structures.
- Familiarity with Australian and Singaporean fund structures is advantageous.
- Understanding of the Investment Company Act of 1940, the Investment Advisers Act of 1940, and the Securities Act of 1933 is a plus.
- Strong analytical and problem-solving skills.
