Qualifications

Qualifications 4-5+ years of expertise in fund formation within the registered fund or mutual fund sectors. In-depth knowledge of the 1933 Act and 1940 Act, including Forms N-1A and N-2. Active member in good standing of the Utah Bar or another state/jurisdiction. Experience in law firms or in-house at asset management firms is advantageous. Familiarity with the 1934 Act, Commodity Exchange Act, and NFA Rules is a plus. Experience with UITs and ETFs is preferred. Excellent interpersonal and communication skills. Strong willingness to learn and adapt to new topics and challenges.

About the Role

iCapital Network is seeking a highly skilled Vice President, Registered Fund Attorney to join our dynamic Legal team. This pivotal role encompasses a wide range of responsibilities, including the representation of perpetual capital vehicles under the 1933 and 1940 Act frameworks. You will handle various matters encompassing compliance and regulatory issues, capital raising initiatives, marketing strategies, investor relations, fund formation and structuring, and corporate transactional matters. Furthermore, you will also represent additional investment products such as unit investment trusts (UITs) and exchange-traded funds (ETFs). The successful candidate will serve as a vital legal resource for our registered funds business. Ideal candidates will possess comprehensive exposure to all facets of the retail investment management landscape, along with proven experience in drafting and negotiating fund documents and related materials, including placement agreements and vendor agreements.
