Job Overview
As a Stock Paralegal, you will play a vital role in supporting securities compliance and equity administration. This position involves maintaining accurate corporate records, facilitating regulatory compliance, and managing stock administration processes. You will work closely with our legal team, finance department, and external counsel to address the company's securities-related requirements.
Key Responsibilities
Process equity grants, option exercises, stock transfers, and other equity transactions in line with equity compensation plans and securities laws.
Assist in the preparation and filing of SEC reports and forms, including Forms 3, 4, 5, S-8, and other necessary securities compliance filings.
Manage and organize corporate governance documentation, including stock awards, option agreements, and related equity documents.
Coordinate with transfer agents, stock plan administrators, and third-party service providers to facilitate equity administration processes and resolve discrepancies.
Support the administration of equity compensation plans.
Draft board resolutions, stockholder consents, and other materials related to equity issuances, option grants, and corporate actions.
Monitor compliance with federal and state securities laws, regulations, and filing deadlines to ensure timely and accurate submissions.
