About the Role:
We are currently seeking a dedicated attorney with substantial in-house and/or law firm experience specializing in transactional and corporate law. The associate will play a crucial role in advising emerging companies and handling venture capital matters, including but not limited to entity formation, financing, commercial contracts, corporate governance, and serving as outside general counsel.
What You’ll Do:
Act as outside general counsel for startups and growth companies: address daily legal inquiries, identify potential issues, and provide practical, business-oriented advice.
Establish and structure new entities (DE C-corps/LLCs, holding/operating companies), prepare foundational documents (IP assignments, vesting agreements, ROFR/Co-Sale), and organize cap tables (e.g., Carta) from the outset.
Lead venture financing transactions from inception to completion (pre-seed to Series B+): draft and negotiate SAFEs, convertible notes, NVCA equity rounds, term sheets, stock purchase agreements, investor rights, and related closing documents.
Oversee debt transactions for venture-backed companies: review term sheets, negotiate loan and security agreements, warrants, intercreditor/subordination arrangements, and coordinate perfection/filings.
Manage closing processes: conduct due diligence, create and monitor closing checklists, coordinate signatures, manage data rooms, and ensure timely and accurate closings.
Draft, review, and negotiate various commercial contracts (SaaS subscriptions, MSAs/SOWs, DPAs, NDAs, vendor and partnership agreements) with a focus on data protection, intellectual property, and risk management.
Provide guidance on corporate governance and compliance matters: prepare board and stockholder consents, update charters/bylaws, and manage equity incentive plans.
