Key Responsibilities:Facilitate board governance through organizing meetings, preparing agendas, documenting minutes, and ensuring compliance with statutory obligations. Serve as a communication bridge between board members, management, and shareholders. Maintain statutory registers, filings, and corporate records in accordance with regulatory demands. Oversee comprehensive contract management including drafting, reviewing, negotiating, and executing agreements. Provide legal counsel on contracts, compliance, and risk management to align business operations with relevant laws. Manage legal disputes, coordinate with external counsel, and aid in litigation processes when necessary. Ensure adherence to corporate laws, regulatory frameworks, and internal governance standards. Maintain a centralized repository for legal documents, contracts, and litigation records. Conduct legal research and draft responses, opinions, and necessary documentation. Recognize contractual and regulatory risks and formulate mitigation strategies. Collaborate with internal teams to address compliance issues and offer legal guidance across departments.
